Terms of Service | Arete Web Design

These Terms of Service ("Terms") govern the provision of web design, development, and related services by Arete Web Design LLC ("Company," "we," "us") to you ("Client"). Engaging our services constitutes your acceptance of these Terms.

1. Scope of Services

Arete Web Design LLC will provide the web design and development services as detailed in a formal Proposal or Statement of Work (SOW). The SOW will specify the deliverables, timelines, and scope for the engagement. Any services outside this scope will require a separate agreement.

2. Payment and Fees

The Client agrees to pay the fees as outlined in the SOW. Depending on the project, services may be billed as a fixed fee, milestones, or a recurring arrangement as stated in writing. All invoices are due as specified in the SOW. We reserve the right to pause services for accounts with overdue payments.

3. Client Obligations

The Client shall provide all necessary access to information, digital assets (such as logos, copy, images, hosting or CMS credentials), and timely feedback required for us to perform the services. The Client is responsible for the accuracy and legality of all materials they provide.

4. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. This includes business strategies, proprietary content, and other sensitive information. This duty of confidentiality extends beyond the termination of our service agreement.

5. Intellectual Property

The Client retains ownership of all their pre-existing brand assets and intellectual property. Work product created by Arete Web Design LLC for the Client as part of the paid services (e.g., custom design files, code, and content produced under the SOW) becomes the property of the Client upon full and final payment, subject to any third-party licenses disclosed in the agreement.

6. Limitation of Liability

Arete Web Design LLC agrees to perform its services with professional skill and care. However, we do not guarantee specific business or traffic outcomes, as results depend on many factors beyond our control. Our liability for any claim arising from our services is limited to the fees paid for the services in the period specified in your SOW or, if not specified, the fees paid for the services in the month preceding the claim.
